A one-day Practical Applications of Project Finance for PPP course that develops the concepts of project finance structures introduced in our Understanding PPP course. The programme will take place in Sydney on Wednesday, 25th May and will be kindly hosted by corporate members, Baker & McKenzie.
 
Through an in-depth discussion of a hypothetical case study participants will review project cashflows, contractual structures and risk management techniques used in Project Finance and PPP projects. Participants will gain a comprehensive understanding of techniques to successfully implement Project Finance deals. The course will be facilitated by leading practitioners in the project finance market and will include detailed course materials, with interactive discussions, working groups and case studies. Each delegate will also receive a Certificate on satisfactory completion of the course, plus CPD points.
 
The course will assume the participant is familiar with the underlying subject matter and will develop a practical application of concepts using worked examples and case studies. Some pre-reading will be required.

DAY ONE

09.00 - 09.30 WELCOME & INTRODUCTION TO COURSE

09.30 - 10.00 PROJECT FUNDING & FINANCING
•     Using the outline case participants will review the selected funding and financing relative to alternative options.

10.00 - 10.30 PROJECT CASHFLOWS
•    Financial Model
•    Sensitivity, Breakeven Analysis
•    Scenario analysis

10.30 - 10.45 COFFEE BREAK

10.45 - 12.30 FINANCE STRUCTURE
In groups participants will examine a simple cashflow and make recommendations about debt structure and liquidity needs.
•    Using conclusions from first two session review a draft term sheet
•    Equity – dividend trap, timing of contribution and support
•    Debt structures, sweeps, sinking funds, negative carry
•    Debt increases – expansion, increases due to performance, subordinated
•    Liquidity tools – reserve accounts, distribution test levels

12.30 - 13.30 LUNCH

13.30 - 14.30 FINANCIAL DOCUMENTS
In groups participants will work through a term sheet and recommending changes for the project analysed in the morning.
•    Bonds versus bank debt
•    Debt limitation covenants
•    Variations on cash controls - distribution tests & lock-ups
•    Other Project Documents

14.30 - 15.00 PROJECT DOCUMENTS
•    Reading and analysing document packages
•    The links between project documents  & gap analysis
•    Review process – version control and mark-ups
•    Key terms of project agreements including procurement
•    Force Majeure and Termination
•    Liability caps and support mechanisms
•    Counterparty

FEES

·         IPFA Member / Public Sector Delegate rate: AUD $830

·         Non IPFA Member Delegate rate: AUD $1,000

GST is not applicable and will not be charged. Fees include all documentation, lunch and refreshments but does not include accommodation.

Discounts are available for multiple bookings and are processed as follows:


·         For two delegates a 10% discount will be applied to the total fee

·         For three delegates a 15% discount will be applied to the total fee

·         For four or more delegates a 20% discount will be applied to the total fee
